No Valid Election at the 2025 AGM

Kia ora e te whānau,

At our 2025 AGM, the Committee of Management confirmed that the election would be deferred because of the serious privacy breach and questions over the accuracy of our shareholder register. This was properly notified to shareholders from 5th September, and confirmed again by the Chairperson at the AGM.  No election was held by MPBI at the AGM.

An Unauthorised Attempt

Following the AGM, individuals held their own election in a space adjacent to the meeting. They later published “results” in the newspaper as though these were official.

We want to be very clear:

• The election and these results are not authorised by MPBI;

• The process was not conducted under the Mangatawa Constitution;

• It was not properly notified to shareholders,.  Shareholders were notified that the election had been deferred;

• The scrutineers were never affirmed by the meeting, and one had even nominated a candidate, meaning they were not independent.

• We also question how the voters were verified as shareholders.

For these reasons, and several others, this election attempt is invalid.

Setting the Record Straight

At the request of your CoM, NZME is now running a correction notice in both the Rotorua Daily Post and the Bay of Plenty Times. This confirms that the “results” being circulated were not authorised by MPBI and that no valid election has taken place.

Next Steps

We continue to work with the Māori Land Court, the Office of the Privacy Commissioner, and our legal advisors to ensure accountability and clarity.

The only valid election will be conducted in accordance with the Constitution and Te Ture Whenua Māori Act, and is proposed to take place at a Special General Meeting on Sunday, 7 December 2025 at Mangatawa Marae.

Reassurance to Shareholders

Despite these recent challenges, we want to reassure our whānau that the business of the Incorporation remains on a strong and steady footing. The Committee of Management and our management team are united in their focus and commitment to protecting shareholder interests, growing our assets, and upholding the mana of Mangatawa.

We will shortly be publishing our Half Year Results, which are looking very positive and demonstrate the resilience of our operations and the strength of our long-term strategy. For any pātai, please contact the MPBI Office on 07 574 8365 or secretary@mangatawa.com.
