PĀNUI
The Annual General Meeting of the Mangatawa Pāpāmoa Blocks Incorporation was recently held on Saturday, 26 September 2026, and the Committee of Management acknowledges and thanks shareholders for their attendance at the AGM.
As shareholders are aware from the earlier pānui issued by the Incorporation on 16 September 2026, the scheduled 2026 election of two (2) members to the Committee of Management of the Incorporation was not held at the AGM following the issue of a direction by the Māori Land Court on 15 September 2026. In that direction, which was issued in the context of ongoing proceedings relating to the 2025 AGM and 2025 election, her Honour Judge Thomas advised that, because the Court’s decision in those proceedings would not be issued before the AGM, she considered it would not be in the best interests of shareholders for the 2026 election to be held at the AGM and that instead the election should be deferred to a special general meeting to be convened for that purpose in December this year.
In accordance with the Her Honour’s direction, the Incorporation notified shareholders of the Court’s deferral of the election in its 16 September pānui. However, a request was made at the recent AGM for the Incorporation to circulate a copy of the Court’s direction. Accordingly, in response to that shareholder request, her Honour Judge Thomas’ direction dated 15 September 2026 is set out in full in this pānui (as follows):
Judge Thomas’ direction of 15 September 2026
“On 26 June 2026, counsel for Ms Carroll sought directions from the Court deferring the Mangatawa Papamoa Blocks Incorporation AGM scheduled to be held on [26] September 2026 until the decision of the Court was released. I declined to defer the election given there was still a 2-month timeframe available for closing submissions to be filed and a decision made on these applications. Since then, there have been several extensions granted and late filings which have meant that, regrettably, we are now in a situation where a decision is unlikely to be released prior to the 2026 AGM, due to occur next weekend. I agree with counsel for Ms Carroll that given the circumstances now, holding an election at the upcoming AGM will create further uncertainty in an already uncertain environment. That is not in the best interests of the shareholders.
Regulation 23(1) of the Māori Incorporations Constitution Regulations 1994 and 23(1) of the Mangatawa Papamoa Blocks Incorporation Constitution states, “The election of persons to fill vacancies in the committee shall be conducted at the annual general meeting unless the court in any particular case orders the holding of a special general meeting for this purpose, or unless the committee decides to submit the filling of a vacancy to a special general meeting convened for that or any other purpose”. I therefore make orders pursuant the Regulations and section 275(2) of Te Ture Whenua Māori Act 1993, that the Incorporation is to hold a special general meeting for the sole purpose of an election prior to 31 December 2026. The Court suggests either the 12th or 19th of December 2026 in order for notice calling for nominations and the 10-week timeframe required for the filing of any nominations to occur.
Given I have now made orders for a special general meeting to be held for the purpose of a 2026 election, the election scheduled to be held at the [26] September 2026 AGM is to be deferred. Notice is to be provided immediately to shareholders by way of the usual methods of notification. This adjournment will allow time for the decision to be released and any matters that require consideration by parties to be addressed before the 2026 election is held. For clarification, this is not a deferral of the 2026 AGM itself, only the election.”
The Incorporation has since notified shareholders that the SGM for the purpose of holding the deferred 2026 election will be convened on Saturday 12 December 2026, and nominations of candidates have been called for. Those nominations close on 3 October 2026 (being 10 weeks before the election date as noted in the Court’s direction and required by the Incorporation’s constitution).
