To remove any uncertainty that may exist in relation to the Incorporation’s AGM and the election to fill vacancies on the Committee of Management, the Committee wishes to inform shareholders that:
(a) The Incorporation’s AGM will proceed tomorrow (28 September 2025 at 10am), but no election will be held at the AGM. The balance of the AGM agenda (other than the election) will proceed tomorrow as notified.
(b) The election to fill the two vacancies on the Committee is deferred and will now be held at a special general meeting to be convened for that purpose which will shortly be notified to shareholders.
The Committee notes that the election has been deferred to an SGM in view of previously notified concerns of the Committee (as reflected in the current s280 application before the Māori Land Court), and the practical impossibility of now holding a safe, transparent and robust election at the AGM tomorrow.
In these circumstances, the Committee considers that deferral of the election to an SGM is in the best interests of the shareholders and candidates.
