Pānui – 2025 AGM Wrap-Up, Share Register Audit & Election Update
On 28 September 2025, we came together for our largest hui of the year – the Annual General Meeting. The whare was filled with whānau, one of the strongest turnouts we have seen in many years, a clear sign of the commitment to the kaupapa of Mangatawa.
The day began in the most fitting way, with the inspired performance of Te Pūwhāriki Kapa Haka. The voices of our mokopuna, reminded us that they and those yet to come, are the reason we do this mahi.
Our tūpuna dreamed that Mangatawa would always endure, and through our strategic plan – Kia Mangatawa te Tū – we walk in their footsteps. Their vision was not just to preserve the whenua, but to protect and grow the taonga of Mangatawa so that future generations may flourish. Every decision we make today, whether in investment, grants, or governance, is a stone on that pathway, a pathway revealed by their moemoeā.
Resolutions Passed
Shareholders approved several important resolutions under Te Ture Whenua Māori Act 1993:
1. Appointment of Share Valuer – Cookson Forbes & Associates.
2. Appointment of Auditor – William Buck.
3. Approval of Dividend – $11.50 per share (total $446,315).
4. Approval of Grants – $145,000, including kaumātua, health, education, sports, and koha grants.
Committee of Management Update
With their terms ending following the conclusion of the AGM, and in accordance with the Mangatawa Pāpāmoa Blocks Constitution, both Pirihira McMath and Victoria Werohia rolled off the Committee of Management.
Both remain as directors on the Retirement Villages and Mangatawa Developments Limited, ensuring they will still be actively involved in the investment mahi of Mangatawa. They will also be eligible to stand in the upcoming election, to be held via Special General Meeting (SGM) on Sunday, 7 December 2025.
To support continuity, Lance Campbell has stepped up as Interim Chairperson, with Nathan Olsen as Interim Deputy Chairperson.
Share Register Audit
Following the privacy breach, we commenced an investigation and lodged an application with the Māori Land Court seeking its assistance to confirm the accuracy of our share register.
We are now working through a full audit of the register and will soon be calling for submissions from shareholders. Further pānui will be issued to guide you through this process, ensuring your voice is included and the integrity of the register is upheld.
The audit is also a crucial step in ensuring that we can hold a valid election process. As shareholders know, the election due to be held at the AGM was deferred due to the privacy breach and register concerns. This process will give us confidence that the election on 7 December 2025 can stand up to scrutiny and protect the rights of our whānau to exercise their rangatiratanga in a process with integrity and transparency.
Election 2025 Update
The previously deferred election for the Committee of Management will now be held at a Special General Meeting (SGM) on Sunday, 7 December 2025.
Please note that MPBI did not hold an election at the 2025 AGM. The election was deferred because of the privacy breach and concerns over the accuracy of the shareholder register. These matters are being addressed through the audit process, supported by the Māori Land Court.
To ensure a fair and transparent process, the election will include:
• A formal notification, and
• Reaffirm the nominations.
This ensures that candidates and shareholders have the opportunity to participate in a process that is fair to all, robust, and beyond reproach, protecting the rights of our whānau to exercise their rangatiratanga.
Looking Ahead
The 2025 AGM was more than a business meeting – it was a living reminder of the vision of our tūpuna and the responsibility we hold as kaitiaki. The resolutions passed, the grants approved, the governance transition, the share register audit underway, and the election process reset are all steps in ensuring Mangatawa stands strong for generations to come.
Together, we are sowing seeds of wellbeing, prosperity, and unity. Together, we walk the path our tūpuna dreamed of protecting and growing the taonga of Mangatawa so that our mokopuna may flourish.
